1. Acceptance of Terms

By accessing and using the website and services provided by Teramond GmbH ("Teramond," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Teramond. If you do not agree to these Terms, please do not use our website or services.

Teramond provides social media marketing services including but not limited to:

• Social media strategy development and consultation
• Content creation and curation for social media platforms
• Social media account management and community engagement
• Paid social media advertising campaigns
• Analytics, reporting, and performance optimization
• Training and educational services related to social media marketing

3. User Obligations

As a user of our services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials provided to you
• Use our services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks
• Comply with all applicable laws, regulations, and third-party rights
• Provide timely feedback and approvals as required for service delivery
• Pay all fees and charges in accordance with the agreed payment terms

4. Service Agreements and Payment Terms

Specific terms for our services will be outlined in separate service agreements or proposals. Payment terms, project scope, deliverables, and timelines will be specified in these agreements. Unless otherwise agreed in writing:

• Payment terms are typically 30 days from invoice date
• Late payments may incur additional charges
• Services may be suspended for non-payment
• All fees are non-refundable unless specifically stated otherwise
• Prices are subject to change with 30 days' notice

5. Intellectual Property

All content, materials, and intellectual property provided by Teramond, including but not limited to text, graphics, logos, images, software, and methodologies, are owned by or licensed to Teramond and are protected by copyright, trademark, and other intellectual property laws.

Content created specifically for clients as part of our services will be owned by the client upon full payment, unless otherwise specified in the service agreement. However, Teramond retains the right to use general methodologies, techniques, and know-how developed during the provision of services.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our proprietary content without prior written consent.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Teramond shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or alteration of your data
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or malicious code that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Teramond in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Teramond, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

9. Termination

Either party may terminate service agreements in accordance with the terms specified in the individual agreements. We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Violation of our policies or procedures

Upon termination, your right to use our services will cease immediately, and we may delete any content or data associated with your account.

10. Force Majeure

Teramond shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or technical failures of third-party systems.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Munich, Germany.

12. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Teramond regarding the use of our services and supersede all prior and contemporaneous written or oral agreements between the parties.
